Dimov & Tashev Law Firm advised the commercial property investment fund Trans Balkan Investments Limited (TBIL) (former Equest) on the sale of Evropa Palace and Urvich Cinemas in Sofia, Bulgaria by one of the fund's subsidiary companies (Pelikan Retail EAD).
The law firm represented the seller by providing comprehensive legal advice on all matters in relation to the said transaction – negotiations with the purchaser, preparation and execution of the transaction documents - preliminary share purchase agreement, escrow agreements, final share purchase agreement, etc. Further, Dimov & Tashev Law Firm advised the seller on the corporate and commercial aspects of the transaction - convocation and conduct of extraordinary general meetings of shareholders, passing corporate resolutions on the contemplated sale, as well as ensured full representation throughout the closing process.
