Dimov & Tashev Law Firm advised the commercial property investment fund Equest on the sale of one of the symbolic buildings in Sofia - Hotel Serdika by means of transfer of the company shares of one of the fund's subsidiary entities (Equilibrium) to Agriway Holdings Limited for €9.175m.
The law firm represented the seller Equest in the course of transaction negotiation process as well as provided comprehensive legal advice on all matters in relation to the said transaction – preparation of the transaction documents - preliminary share purchase agreement, escrow agreements, final share purchase agreement, etc. Further, Dimov & Tashev Law Firm provided assistance on the corporate and commercial aspects of the transaction - convocation and conduct of extraordinary general meetings of the shareholders, passing shareholders resolutions on the contemplated transaction, recordation of all necessary amendments as per the batch of the target company with the commercial register, as well as full representation throughout the closing process.
